These Terms and Conditions apply to purchases of goods and services supplied by Lab Recycle [Ltd / Limited] (“Lab Recycle”, “we”, “us” or “our”).

Please read these Terms and Conditions carefully before placing an order. By purchasing goods or services from us, you agree to be bound by these terms.

1. About our products

Lab Recycle specialises in the sale of pre-owned, surplus and refurbished laboratory, scientific and technical equipment.

Unless expressly stated otherwise, equipment is supplied as used equipment and may show cosmetic signs of previous use, including marks, scratches, discolouration or other wear consistent with its age and previous laboratory use.

We aim to describe the condition, specification and functionality of all equipment accurately.

Individual listings may describe equipment as:

• Tested / Working – the equipment has been tested to the extent described in the listing and was functioning at the time of testing.
• Power Tested – the equipment has been powered on but may not have undergone full functional testing.
• Untested – the equipment has not been fully tested and its operational condition is not guaranteed.
• For Parts / Repair – the equipment is sold as non-working, incomplete or requiring repair.

Photographs generally show the actual equipment being supplied unless clearly identified as representative images.

Accessories, computers, software, licences, manuals, cables and consumables are included only where specifically stated in the product description.

2. Used laboratory equipment and contamination

Much of the equipment supplied by Lab Recycle originates from professional laboratory, industrial, research or educational environments.

Where appropriate, equipment may have undergone decontamination or cleaning before being supplied to us. However, unless specifically confirmed in writing, Lab Recycle cannot guarantee that used equipment is completely free from residues or contamination arising from previous use.

Customers are responsible for carrying out any risk assessment, inspection, cleaning, decontamination or validation required before installing or using equipment within their own facility.

Equipment must not be assumed to be suitable for pharmaceutical, clinical, diagnostic, food, GMP, GLP or other regulated use without the purchaser carrying out their own appropriate qualification and validation.

3. Product descriptions and specifications

We take reasonable care to ensure that product descriptions, photographs, model numbers, specifications and other information are accurate.

However, used laboratory equipment may have been modified or configured by previous owners.

Customers should therefore satisfy themselves that an item is suitable for their intended application before purchasing.

If a particular specification, configuration, software version, accessory or feature is essential to your purchase, please contact us before ordering so that we can confirm it.

Errors and omissions are excepted.

4. Prices

Prices displayed on our website may change without notice.

The price applicable to an order will normally be the price displayed at the time the order is placed, subject to obvious pricing or listing errors.

Delivery, packaging, palletisation, installation or other charges may be additional unless expressly stated otherwise.

VAT will be charged where applicable at the prevailing rate.

Where a quotation has been issued, the quotation will remain valid for the period stated on it.

5. Payment

Payment must be made using one of the payment methods made available by Lab Recycle.

For larger equipment purchases, we may accept payment by bank transfer by prior arrangement.

Goods remain the property of Lab Recycle until payment has been received in full.

We reserve the right to withhold dispatch or collection until cleared payment has been received.

6. Orders

An order submitted through our website constitutes an offer to purchase the goods.

An order is accepted when we confirm acceptance of the order or dispatch the goods.

We reserve the right to cancel or refuse an order where:

• an item is no longer available;
• an incorrect price or material error has been published;
• payment cannot be authorised;
• delivery is not reasonably possible; or
• we have reasonable grounds to suspect fraud or misuse.

If payment has already been taken for an order we cannot fulfil, the amount paid will be refunded.

7. Delivery

Delivery times are estimates unless specifically agreed otherwise in writing.

Large or fragile laboratory equipment may require pallet delivery, specialist transport or collection.

Customers are responsible for ensuring that suitable access, unloading facilities and personnel are available at the delivery location where required.

This may include forklifts, pallet trucks, loading bays or other lifting equipment for larger instruments.

We will make reasonable efforts to package goods appropriately for transport.

Risk in the goods passes in accordance with applicable law and the agreed method of delivery.

8. Inspecting deliveries

Customers should inspect goods as soon as reasonably possible after delivery.

If equipment appears to have been damaged during transport, please:

1. photograph the external packaging before opening where possible;
2. photograph the damage to the equipment;
3. retain the packaging; and
4. contact Lab Recycle promptly with the order details.

Signing a delivery as damaged where appropriate can assist with courier claims.

Nothing in this section affects a consumer's statutory rights.

9. Returns – business customers

Unless otherwise agreed in writing, goods purchased by a business are supplied on a business-to-business basis.

Business customers do not automatically have a right to return an item simply because they no longer require it or have changed their mind.

If we agree to accept a discretionary business return, the goods must normally be returned in the same condition in which they were supplied and the customer may be responsible for return transport costs.

We may deduct reasonable costs arising from damage, missing components or deterioration caused after delivery.

This does not affect any rights a business customer may have where goods materially differ from their description or where we have expressly provided a warranty.

10. Consumer purchases and cancellation rights

Where you purchase from Lab Recycle as a consumer, your statutory rights are not affected by these Terms and Conditions.

For most goods purchased online, consumers normally have the right to cancel the contract within 14 days of receiving the goods, without needing to provide a reason. After notifying the seller of cancellation, the consumer normally has a further 14 days to return the goods.

Where the statutory right to cancel applies, you should notify us clearly that you wish to cancel your order.

Unless otherwise required by law, the customer will normally be responsible for the direct cost of returning goods after a change-of-mind cancellation.

For goods which cannot normally be returned by post because of their size or weight, return transport can be expensive. Any available estimate of those costs should be considered before ordering.

Refunds will be processed in accordance with applicable consumer law.

Your statutory rights in relation to faulty, misdescribed or otherwise non-conforming goods remain unaffected.

11. Condition and warranty

Any warranty supplied with an item will be stated in the relevant product listing, quotation or invoice.

A warranty covering used laboratory equipment relates only to the functionality expressly represented by Lab Recycle.

Unless specifically stated otherwise, a warranty does not cover:

• consumable parts;
• lamps;
• columns;
• seals;
• tubing;
• batteries;
• glassware;
• contamination;
• software configuration;
• third-party software or licences;
• damage caused by incorrect installation;
• misuse or accidental damage;
• unauthorised modification or repair;
• failure caused by incompatible utilities or peripherals;
• normal wear and tear.

Where a fault is reported under an applicable warranty, we may inspect the equipment before agreeing an appropriate remedy.

Nothing in this section limits rights which cannot legally be excluded.

12. Software and licences

Laboratory equipment may contain computers, firmware or software originally supplied by a third party.

Unless specifically stated otherwise, the sale of equipment does not guarantee that transferable software licences are included.

Customers are responsible for obtaining any software licences, subscriptions, activation keys or manufacturer permissions required to operate the equipment.

Lab Recycle does not warrant that legacy software will operate on modern computers, operating systems or networks unless we have specifically confirmed compatibility.

13. Installation and suitability

Unless installation or commissioning has specifically been purchased from Lab Recycle, customers are responsible for installation of the equipment.

The purchaser is responsible for determining whether the equipment is:

• appropriate for its intended application;
• compatible with their facilities and utilities;
• electrically suitable;
• safe to operate;
• compliant with any applicable regulatory requirements; and
• appropriately qualified or validated.

Installation and operation should be carried out by suitably competent persons.

14. Health and safety

Used laboratory equipment may involve electrical, mechanical, chemical, vacuum, pressure, heat or other hazards.

Customers must carry out their own health and safety assessment before installing or operating equipment.

Any guards, interlocks or safety devices fitted to equipment must not be bypassed or removed.

The purchaser is responsible for ensuring compliance with applicable health and safety legislation and workplace requirements.

15. Limitation of liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to those limitations, Lab Recycle will not be responsible for indirect or consequential business losses arising from the purchase or use of equipment, including loss of production, loss of samples, loss of data, loss of profits or business interruption, to the extent permitted by law.

Customers should maintain appropriate backups and safeguards when equipment is used for critical operations.

16. Laboratory clearance and equipment purchases

Where Lab Recycle provides laboratory clearance, equipment removal, valuation or asset-purchase services, additional terms may be agreed as part of the quotation.

The customer confirms that they have the authority to sell, transfer or dispose of equipment offered to Lab Recycle.

Unless otherwise agreed, customers must disclose any known contamination, hazardous substances, radioactive materials, biological hazards or other risks associated with equipment before collection.

We reserve the right to refuse collection of equipment which we reasonably believe presents an undisclosed health, safety or environmental risk.

17. Ownership of equipment supplied to us

Where you sell or transfer equipment to Lab Recycle, you confirm that:

• you are the legal owner of the equipment or have authority to dispose of it;
• the equipment is free from undisclosed finance, liens or third-party ownership claims;
• all relevant hazards have been disclosed; and
• information you provide regarding the equipment is accurate to the best of your knowledge.

Lab Recycle may request evidence of ownership or authority before completing a purchase or collection.

18. Data stored on equipment

Laboratory computers, instrument controllers, servers, storage devices and other equipment may contain data belonging to the previous user.

Customers supplying equipment to Lab Recycle are responsible for removing confidential, personal, commercially sensitive or regulated information before transfer unless a specific data-destruction service has been agreed.

Where we identify stored data during processing, we will take reasonable steps to prevent its inappropriate disclosure.

19. Force majeure

We will not be responsible for delays or failure to perform our obligations where caused by circumstances outside our reasonable control.

These may include transport disruption, severe weather, fire, flood, power or communications failure, industrial disputes, government action, war, civil disturbance or failure of suppliers or carriers.

20. Changes to these terms

We may update these Terms and Conditions from time to time.

The terms applying to a particular purchase will normally be those in force when the order was placed.

21. Governing law

These Terms and Conditions are governed by the laws of England and Wales.

Where permitted by law, disputes relating to these terms will be subject to the jurisdiction of the courts of England and Wales.

Consumers may also have rights to bring proceedings in the courts applicable to where they live.
